FIAT HAS LAUNCHED FIAT POWERTRAIN TECHNOLOGIES, A NEW INDUSTRIAL UNIT THAT WILL INTEGRATE ALL THE GROUP'S INNOVATION CAPABILITIES AND EXPERTISE IN ENGINES AND TRANSMISSIONS
Fiat has announced the creation of Fiat Powertrain Technologies, a new industrial unit that will integrate all the Group’s innovative capabilities and expertise in the area of engines and transmissions - a new business open to the external world.
The new company will operate in 12 countries with 26 plants and 16 research and development centers and will combine the resources, employees and activities of Fiat Auto Powertrain, Iveco Powertrain, Magneti Marelli Powertrain (including Motor Sport), Iveco Motoren Forschung and the Powertrain research activities of the Fiat Research Center and Elasis.
Domenico Bordone, currently Magneti Marelli CEO, will be appointed CEO of the new company to be headquartered in Turin.
Fiat Powertrain Technologies, which is expected to have a considerable future growth potential, will start operating with annual revenues of 6 billion euro, 20 percent of which from non-captive customers.
It will employ over 23 thousand employees: 11,000 drawn from Fiat Auto, 7,200 from Iveco, 3,800 from Magneti Marelli Powertrain and over 1,000 from the Fiat Research Centre, Iveco Motoren Forschung and Elasis.
With an annual output of over 2,200,000 engines, some 2,000,000 transmissions, and an extensive range of both power outputs and applications, Fiat Powertrain Technologies will be one of the most significant players in the automotive world.
The ability of operating in an integrated way across a larger number of cutting-edge research and engineering centers will bear significant advantages in the development of highly innovative and competitive products as far as performance and costs are concerned.
The activities will be managed according to the following strategic lines:development of markets outside the Fiat Group; - enhancement of centers of technological excellence and systematic transfer of results to the product range; - integration of engineering capabilities from the product development to the testing phase, to product life-cycle management; - synergies of the industrialization and manufacturing process; - synergies in purchasing thanks to innovation, technological rationalization and larger volumes; - greater focus of R&D investments for environment-friendly powertrains: methane, hybrid, fuel-cell.
“This business, which represents a fundamental step in the relaunch of the Fiat Group, will allow us to operate with greater flexibility and to leverage on the huge potential – particularly in the non-captive market – that up to now has been divided into different units” said Sergio Marchionne, Fiat Group CEO. “The integration of activities, products and highly qualified people will allow us to fully express Fiat Group’s great technological and innovation capabilities.
“In Fiat’s history, our competence in mechanics and engines, in particular, has always been undisputed in the whole automotive world. Diesel engines are an example, to name but one. In fact, at the new company, a group of high-profile technicians, who have been working for years on racing engines, including Formula 1, will be devoted to the development and engineering of high performance engines.
“Thanks to the synergies and efficiencies that will soon be found, Fiat Powertrain Technologies will significantly contribute to the improvement of the profitability of the Group, which, thanks to its new company, will be able to operate across international markets with renewed vigor and strength”.

NEW CAR REGISTRATIONS FELL SHARPLY ACROSS EUROPE LAST MONTH, ALTHOUGH LANCIA ONCE AGAIN PROVED TO BE FIAT AUTO'S STAR PERFORMER, UP MORE THAN 10 PCT YEAR ON YEAR
New car registrations fell sharply across Europe last month, although Lancia once again proved to be Fiat Auto's star performer, up more than 10 pct year on year.
At the same time as this news was being digested, Fiat Auto boss Sergio Marchionne was conducting a mild reshuffle of his top management pack, confirming his role, while reducing the team slightly and reassigning some responsibilities.
LANCIA'S RECOVERY CONTINUES AS IT RIDES OUT THE FALLING EUROPEAN TREND
The outlook across Europe last month was bleak with almost all car makers registering falls, only BMW and Kia bucking the steadily downwards trend. The Fiat Auto Division, as a whole, registered 101,843 new vehicles in March, down 16.7 pct year-on-year.With a whole raft of new models due to come on stream later this year, including the new Fiat Punto and Croma, and Alfa 159 and Brera, it was not an unexpected result, as the first half of the year is very much a case of treading water for the Italian carmaker.
Breaking the data down, the Fiat brand registered 72,735 new vehicles last month (down 20.7 pct from 91,728 units in March 2004), and Alfa Romeo saw 15,080 new cars depart from the showrooms (down 15.1 pct, from 17,752 in March 2004). However it was the Lancia 'luxury' division though that once against raced ahead, up an excellent 10.5 pct year-on-year, with 13,541 new cars registered, as opposed to 12,254 last March. With the Ypsilon's popularity continuing unabated, the Musa 'mini mpv' is now starting to roll out across Europe with a healthy order book.
Fiat took a 6.2 pct share of the overall market, that comprises of the fifteen EU member nations plus the EFTA countries, down 1 pct year-on-year. Out of that 6.2 pct, the Fiat brand held on to 4.4 pct (down 1 pct), Alfa Romeo claimed 0.9 pct (down 0.1 pct) and Lancia took 0.8 pct (up 0.1 pct).
FURTHER SENIOR MANAGEMENT CHANGES AT FIAT AUTO
Meanwhile last week Fiat Group CEO Sergio Marchionne made several changes to the senior management team of the Auto Division, the first alternations to be implemented since the current top structure was introduced last September. While this six month old management structure was devised in conjunction with the then Auto Division boss Herbert Demel, Marchionne has now been able to put his stamp firmly onto the senior management team, and at the same time reconfirm his position as Auto Division CEO, a role he took on earlier this year, soon after the divorce from GM.
As expected, the senior management ranks have now been reduced slightly, from 28 to 23, as Marchionne continues to trim the structure, to cut out costs, and to make it more flexible and tightly focused. While the changes were mostly a case of some minor fine tuning, and the confirmation of several appointees, the biggest surprise came with the news that engineering and design boss Harald J. Wester will now take responsibility for new product platforms.
The commercial managers for each of the brands remain the same, Luca De Meo at Fiat, Karl-Heinz Kalbfell at Alfa Romeo and Maserati, Antonio Baravalle at Lancia and Lorenzo Sistino retaining the LCV post. Simone Magliarino now takes over Communication and Industrial Relations though, Roberto Zuccato assumes responsibility for marketing at the new Alfa Romeo-Maserati division, while Pier Luigi Zanframundo replaces the departing Johan Wolfharter as Director of Fleet Management and Network Development.Fiat Auto Senior Management: CEO and General Manager Sergio Marchionne; Brand & Commercial Fiat Luca De Meo; Brand & Commercial Alfa Romeo Karl-Heinz Kalbfell; Brand & Commercial Lancia Antonio Baravalle; Brand & Commercial LCV Lorenzo Sistino; After Sales Benito De Filippis; Engineering & Design Harald J. Fiat's share price has bounced back over the psychological five euro threshold as the stock markets express confidence that the carmaker has successfully concluded negotiations over its looming three billion euro loan.
This news came onto top of a recent one million euro share purchase by a group of Fiat senior managers, and the expectation that a major new Indian manufacturing alliance is imminent.
FIAT MANAGEMENT SHARE PURCHASE
Following hard on the heels of Group CEO Sergio Marchionne's decision to purchase of 220,000 Fiat shares, came the news that a group of around thirty five senior managers had taken advantage of the firm's falling share price to snap up over one million euros worth of stock.
Fiat confirmed the action with the following brief statement: 'The members of the Fiat Auto Steering Committee and managers of Fiat S.p.A. and the operating Sectors who directly report to the Chief Executive Officer of the Fiat Group, Sergio Marchionne, have bought today Fiat ordinary shares on the market for a total amount of more than one million euros.'
FIAT COME TO AGREEMENT WITH CREDITOR BANKS
Fiat's share price received a further fillip this week with the official news that the quartet of commercial banks, which three years ago lended the carmaker three billion euros, had come to agreement over converting this loan, due to expire in September, into full shares, a move which would immediately place them as influential shareholders. The markets were delighted that the looming uncertainty over this issue had been successfully resolved and that the banks had resisted any moves to break the group up.
Fiat issued a statement following the three hour meeting: 'Luca Cordero di Montezemolo, Chairman of Fiat, and Sergio Marchionne, Chief Executive Officer, have met today in Milan with the representatives of the main lending banks that in 2002 had provided the 3-billion-euro mandatory convertible facility to Fiat. The banks were represented by the Chief Executive Officers of the companies: Corrado Passera (Banca Intesa), Matteo Arpe (Capitalia), Alfonso Iozzo (SanPaolo IMI) and Alessandro Profumo (Unicredito Italiano).'During the meeting the operating and financial data of the Group was confirmed. Fiat has reiterated its commitment to achieving the objectives stated for 2005, 2006 and 2007. The conversion of the mandatory convertible facility, due in September 2005, was confirmed. The Banks also reaffirmed their will to support the Group which is focused in achieving the financial objectives set for the next three years,' the statement concluded.
'MAJOR' NEW INDIAN DEAL IMMINENT
Rumours which have been swirling over the last week suggesting that Fiat is close to signing a major new car manufacturing alliance with ambitious Indian firm Tata Motors, was given strong credibility when Group Chairman Luca di Montezemolo hinted to reporters that a 'big announcement' concerning India could arrive in a matter of weeks.
CEO Marchionne is known to have been recently locked in talks which aim to re-launch car Fiat's stalled Indian operations, and the news that Tata Motors, part of the Tata Group, India's biggest private sector grouping, may be involved has impressed market analysts.
NEW PLAN FOR TERMINI IMERESE PLANT PRESENTED
Meanwhile this week has seen Fiat and the Sicilian regional government finally present concrete proposals for the threatened Termini Imerese factory, which went once again onto state-subsidised shutdown on 21st March.Currently home to Italy's best selling car, the Fiat Punto, the new plans call for 30.750 million euros to be invested in new infrastructure and workforce re-training to turn the plant into a production centre for the Lancia Ypsilon model, with a daily build rate of 400 units being targeted. A core workforce of 1,343 is envisioned, meaning a loss of around 120 jobs, when the new model begins rolling out of the factory, scheduled for September.

THE AGNELLI FAMILY GAVE FIAT A TIMELY BOOST THIS MORNING WHEN IT WAS CONFIRMED THAT THEY INTEND TO REMAIN THE FIRM'S MAJORITY SHAREHOLDERS
The Agnelli family gave Fiat a timely boost this morning when it was confirmed that they intend to remain the conglomerate's majority shareholders for the foreseeable future.
Gianluigi Gabetti, the Chairman of the Agnelli family holding companies, Ifil, Ifi, and Giovanni Agnelli & Co, told the Italian national daily newspaper Corriere della Sera this morning that they were still fully committed to the century old carmaker's future, despite the dilution of their shareholding which will take place when the consortium of creditor banks convert a 3 billion euro loan into stock on its expiry in September. There has been widespread speculation regarding the Agnelli family's intentions since the consortium of banks, led by Banca Intesa, Capitalia, SanPaolo IMI and Unicredito Italiano, agreed terms to convert the loan, which was issued in 2002, into a substantial Fiat Group shareholding, during a three hour meeting with Fiat Group Chairman Luca di Montezemolo and CEO Sergio Marchionne, which took place earlier this week.
'We still won't have thirty percent,' Gabetti told Corriere della Sera. 'We're not counting it out. For certain, in September the banks will take over. And certainly we'll see with what effective shares, but there will be a dilution of Ifil participation.'
Gabetti, who worked closely with Gianni and Umberto Agnelli for many years, remains tied into the inner circle of the Agnelli family. 'The goal is that of guaranteeing stability to the company and its management, in which we have full and total confidence,' he added. 'Therefore, I repeat again, we are determined to remain in our role as majority shareholders in the future. We will continue to do so. And we will continue to try to deserve it.'He added that he was highly satisfied with the recent outcome of the negotiations with the creditors banks, and that the firm's ongoing recovery strategy met with his full approval. 'I'm very satisfied. Above all because I'm fully confident of the efforts being made by Luca Cordero di Montezemolo and Sergio Marchionne. And I'm full of confidence that we'll see good results,' Gabetti concluded.
The news was favourably greeted by the stockmarkets which pushed Fiat's ordinary share price up by 3.5 pct in early trading, it eventually closing up 0.55 pct at 5.14 euros on the Bourse Italia. With speculation suggesting that the Agnellis will have to convert preferential shares to avoid the dilution of their stake, Fiat's preferred shares rose by as much as 4.2 pct today, before closing up 0.31 pct at 4.26 euros.
FIAT Q1 WILL BE 'BETTER THAN EXPECTED'
Well placed Italian sources report that Fiat's first quarter operating results, due to be announced on 10th May, 'will not be sensational', but will however, 'be better than many people are expecting'.The whole European new car market has been hammered in recent months, with most brands reporting sales slumps. Fiat have themselves not escaped the decline, but continuing strong growth of the light commercial vehicle sector, together with higher profit margins, and a better mix of models, mean that the blow will be somewhat cushioned.

CENTRO RICERCHE FIAT HAVE UNVEILED A TECHNOLOGY CONCEPT CAR AT THE BARCELONA INTERNATIONAL MOTOR SHOW
With an uncompromised and futuristic sporty exterior, and a showcase of cutting-edge technology under its gullwing door coupe bodywork, Fiat's latest technological wonder comes without a badge. It is this unbranded sportscar study, with which the Fiat Group will compete for the best automotive innovation and technology prize judged by the Spanish STA society (Sociedad de Tecnicos Automoción). The '5th STA Prizes' is being held in conjunction with the Barcelona International Motor Show, which runs from 5-15 May (public days are 7-15 May).
The STA received 87 projects during the period of participation (from 1 June 2003 until 31 January 2005), 63 were accepted, and 26 finalists were selected for the final competition stage at the motor show. Of the recieved projects, 75% were Spanish entries, with 15% stemming from the rest of Europe and the remaining 10% from the United States, India and China.
The concept of the innovative sportscar was developed by Centro Ricerche Fiat (CRF) and was realised by Spanish prototype builder Mazel Ingenieros, an integral part of the Mazel Group.Mazel was also responsible for the creation of the Lancia Grandturismo Stilnovo prototype for the 2003 Barcelona show, as well as numerous other concept cars including three radical Hispano-Suiza super luxury studies.
The most important features of the new CRF sportscar study are the ‘spilt frame' chassis, a design with a passenger cell compartment separate from the suspension assemblies; a technology which Fiat have christened ‘Occhio-centro' (‘Eye-centre'), which is an automatic system of adjusting the steering wheel, seats and pedals, enabling the driver to always sit in the correct ergonomic position; finally a ‘drive-by-wire' system which steers the wheels through electrical impulses and electro motors rather than through a conventional mechanical setup.
The potential application of these technologies in future years will apply to the high-end models within the Fiat Group: to start with Ferrari and Maserati, and eventually Alfa Romeo.
CRF have already made a functioning drive-by-wire Alfa Romeo 147 protoype (pictured left), which was presented to MIUR (Ministero dell'Intruzione, dell'Università e della Ricerca) in September 2004. The final prizegiving of the 5th STA Prizes will take place on May 9th in the Conference Hall of the Fira Barcelona -
The Man that Increases the Ferrari Dollar
By Carm SciglitanoTuesday, May 3, 2005
While his responsibilities keep increasing, his success pattern does the same bringing more value to the Ferrari label with more to come towards the end of this year. This year has proven to be a year with lots of important signings and confirmations for the better.
The favourable Concorde Agreement signing on January 19, 2005, with Mr. Ecclestone and the Formula One Management for the period 2008-2012 was one of the biggest darings but will prove to be the best of all in allowing Ferrari to obtain more funds in the ballpark of USD 150 million + the yearly winning amounts that are in the ballpark of USD 23-25 million per year. Luca gladly stated the following: 'This agreement is in line with what Ferrari had hoped for, for a long time'. This deal also pleases and relieved Mr. Todt who shared the following 'We are a small company and we have to cover the costs of Formula 1.' With two other teams onboard this deal, the next step is to get all the other major teams involved to which Ecclestone will work something out as he always has. This extra amount of funds allows Ferrari to become more stable in an F1 circle that has seen costs rise to astronomical heights, now to be funded from its sponsorship, the sport's revenues, merchandising and other commercial rights.
The next incredible move by Mr. Montezemolo was established on Valentine's day of this year to where he got General Motors to pay Fiat USD 2 billion and its 10% share of Fiat to end their five-year relationship and avoid being forced to acquire Fiat Auto which had a debt of USD 10 billion. With this, he bought Fiat some time to organize itself and to continue sponsoring the Ferrari F1 project. A nice Valentine's gift indeed.
It does not stop here, on April 21, 2005, Shell and Ferrari extended their marriage until 2010. Shell previously provided Ferrari with USD 26 million and USD 4 million worth of technical contribution to which has increased to approximately USD 37.5 million since Montezemolo used Sinopec in their negotiations. The technical contribution seems to have increased to the importance of the lubricants from Shell for the engine's lifespan due to the new regulations.
Another money-maker has recently been announced at the Imola Grand Prix on April 23, 2005, to where Red Bull has signed with Ferrari to use their engines for the seasons of 2005-2006. This is a proactive move by Ferrari in assuring their engine revenue while Sauber is thinking of changing their engines to BMW. The deal is rumoured to be worth approximately USD 30 million dollars per year, and, Sauber in the end, may also re-sign if their backs are against the wall. All in all, the engine department will bring another substantial amount of money to the Scuderia.
The latest with Marlboro, is, they will sign up with Ferrari until 2010 regardless of the tobacco ban, and use the present livery used at the Canadian, English, American and French GP's on the cars and if there are legal problems, they will then in turn sell their valuable space on to the other sponsors, such as Vodafone. (See Will the Marlboro and Ferrari Partnership Go Beyond 2006?)
In 2005, with these transactions in place, Luca Montezemolo has continued to be a proven brilliant individual and no wonder he was once voted to be as the most influential man in Formula One.
